Wholesale Terms & Conditions

These Wholesale Terms & Conditions ("Terms") apply to all wholesale accounts and purchases made through Australian Medicinal Herbs ("we", "our", "us") by wholesale customers ("you", "your", "the Customer"). By submitting your wholesale registration form and placing an order, you agree to the following terms in full. These Terms may be updated at any time without prior notice.

  1. Wholesale Account Registration
    By completing our wholesale registration form, your wholesale account will be created automatically.
    All wholesale accounts are subject to review. Your business details will be verified before the fulfilment of your first order. 
    If your account does not meet our wholesale eligibility criteria (e.g. business type, ABN verification, or alignment with brand values), we reserve the right to cancel your account. In this case, any orders already placed will be refunded in full minus any applicable transaction fees (e.g. merchant processing fees). 
    We reserve the right to refuse or cancel wholesale accounts or orders at our sole discretion and for any reason.
  2. Wholesale Pricing & Payment Terms
    Wholesale pricing is offered at a fixed rate inclusive of GST.
    Prices are listed in Australian Dollars (AUD). 
    Payment is required in full at the time of checkout. Orders will not be processed or dispatched without full payment. 
    No credit terms are available unless previously agreed in writing.
  3. Shipping & Handling
    We offer a flat rate shipping fee of $35 AUD for all wholesale orders within Australia. This includes mandatory parcel insurance with Australia Post.
    Orders will be posted within 5 business days of receiving full payment. 
    You will be notified via email with tracking information as soon as your order has been dispatched. Delivery timeframes may vary based on location, volume of order, and carrier performance. Estimated delivery times are not guaranteed. 
    Title and risk of the goods pass to you upon dispatch from our facility. If your parcel is lost or damaged in transit, it is your responsibility to file a claim with the shipping provider. We will assist by providing documentation if requested.
  4. Returns, Exchanges & Claims
    We pack all items with care to ensure they are sufficiently protected against damage in transit.
    You must notify us of any damaged, faulty, or incorrect items within 7 days of receipt. Notification must include photographic evidence and a description of the issue. 
    Refunds will be processed upon return of goods or submission of adequate evidence of damage. If there is a problem with a product itself (such as faulty ingredients, manufacturing defects, or other quality-related issues), we will issue a full refund or replacement. 
    We do not accept returns or exchanges for change of mind or unsold stock. 
    Return postage for approved claims is the responsibility of the customer unless otherwise agreed. 
    If damage occurs in transit despite sufficient packaging, any claims for compensation must be made with the shipping company directly. We will assist by providing documentation.
  5. Ordering Process
    You must be logged into your wholesale account to access wholesale pricing and place an order.
    Orders placed without logging in or using a non-wholesale account will be charged at retail pricing.
  6. Branding, Pricing & Product Integrity
    Products purchased via wholesale are for resale only. You are not permitted to purchase goods for private or personal use under a wholesale account. Our brand, Australian Medicinal Herbs (AMH), is a premium product range. You agree to:
    • Not place AMH products in "clearance", "sales", "bargain bins", or discount categories.
    • Not reduce the price of AMH products below the current published RRP (Recommended Retail Price).
    • Maintain AMH product packaging intact, including keeping products in their original boxed packaging for resale.

    Our alcohol-based tinctures have an unlimited shelf life, and as such, sales based on expiry dates are not permitted.
    We will supply product information leaflets with your wholesale order. These provide detailed information about each product's use and purpose. We recommend you display them near the products, in a frame or similar, to assist your customers in understanding the benefits and uses of each item. 
    Storage of Products: We recommend that you store all products in a cool, dark place. Products must be kept away from sunlight and heat to ensure longevity and maintain product integrity.
  7. Intellectual Property & Brand Representation
    All intellectual property including product names, photography, copy, formulas, branding elements, logos, and designs remain the sole property of Australian Medicinal Herbs.
    You may not duplicate, alter, or use our branding or content without prior written permission. 
    You may use approved images and descriptions provided by us solely for the purpose of promoting and selling AMH products.
    You must not imply that you are the creator or originator of our products or formulations.
  8. Resale Agreement
    You agree that all products purchased under a wholesale account are intended for resale and not for personal or private use.
    You must have a valid ABN and operate a business relevant to the herbal, natural health, wellness, giftware, or similar industry. 
    Products may not be resold via online marketplaces such as eBay, Amazon, Etsy, or similar third-party platforms unless you have received explicit written permission from us.
  9. Liability
    To the extent permitted by law, Australian Medicinal Herbs shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to the use, misuse, or resale of our products.
    You acknowledge that our herbal products are intended for general wellness purposes only and are not intended to diagnose, treat, cure, or prevent any medical condition. 
    It is your responsibility to ensure that any claims made to your customers comply with TGA and local regulatory guidelines. 
    You agree to indemnify and hold harmless Australian Medicinal Herbs, its owners, and affiliates from any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of or in connection with:
    • Your breach of these Terms
    • Misrepresentation of our products or brand
    • Use or misuse of the products
    • Failure to store or display the products appropriately
    • Customer injury, dissatisfaction, or legal disputes resulting from your sale of our products

    It is your responsibility to educate your staff and customers appropriately and ensure that your retail environment or online presence reflects our premium values.
  10. Termination
    We reserve the right to suspend or terminate your wholesale account at any time if you breach these Terms or behave in a way that damages the reputation or integrity of our brand.
    Upon termination, any outstanding orders may be cancelled and refunded at our discretion.
  11. Governing Law
    These Terms shall be governed by and interpreted in accordance with the laws of Australia (Federal law), and the laws of the State of New South Wales.
    Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
  12. Acceptance of Terms
    By registering for a wholesale account and/or placing a wholesale order, you acknowledge that you have read, understood, and agree to be bound by these Wholesale Terms & Conditions in full.
